These Terms of Service ("Terms") govern your access to and use of the ConvoConnect social commerce platform for WhatsApp (the "Service"), operated by ConvoConnect ("we", "us", or "our"), available at https://convoconnect.tech and related applications.

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.


1. The Service

ConvoConnect provides a cloud-based platform that enables businesses to:

  • Operate a shared WhatsApp team inbox and manage customer conversations.
  • Send campaigns and broadcasts using approved WhatsApp message templates.
  • Build and sell from product catalogs and branded shop pages.
  • Accept bookings and event registrations with automated reminders.
  • Automate workflows, collect payments, and integrate with third-party tools.

We may add, modify, or discontinue features at any time. We will use reasonable efforts to notify account holders of material changes that affect core functionality.


2. Eligibility and accounts

To use the Service, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction).
  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials.
  • Promptly update your information if it changes.

You are responsible for all activity under your account, including actions taken by team members you invite. Notify us immediately at support@convoconnect.tech if you suspect unauthorized access.


3. Subscriptions, billing, and credits

3.1 Plans and trials

Access to certain features depends on your subscription plan. We may offer free trials or promotional plans with specific limits. Trial terms are described at signup or on our pricing page.

3.2 Payment

Paid plans are billed in advance on a recurring basis (monthly or annually) unless otherwise stated. You authorize us and our payment processors to charge your chosen payment method for applicable fees, taxes, and usage-based charges (such as messaging credits).

3.3 Usage charges

WhatsApp messaging and some platform actions may incur additional usage fees based on message type, volume, or plan limits. Current rates are shown in your dashboard or plan documentation.

3.4 Failed payments

If payment fails, we may suspend or limit access until the balance is resolved. Continued non-payment may result in account termination.

3.5 Refunds

Except where required by law or explicitly stated in a separate refund policy, fees are non-refundable. Downgrades take effect at the next billing cycle unless otherwise agreed.


4. Acceptable use

You agree to use the Service only for lawful purposes and in compliance with these Terms, applicable laws, and third-party platform policies.

4.1 You must not

  • Send spam, unsolicited messages, or content that violates WhatsApp or Meta policies.
  • Use the Service to harass, threaten, defraud, or mislead others.
  • Upload or transmit malware, illegal content, or material that infringes intellectual property or privacy rights.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Reverse engineer, scrape, or resell the Service except as expressly permitted.
  • Circumvent usage limits, security measures, or billing controls.
  • Use the Service in regulated industries (such as healthcare or financial services) without ensuring you meet all applicable compliance requirements.

4.2 WhatsApp and Meta compliance

Your use of WhatsApp features is subject to:

You are solely responsible for obtaining valid opt-ins, using approved templates where required, honoring opt-out requests, and complying with messaging windows and category rules (marketing, utility, authentication, etc.).

We may suspend or terminate accounts that violate Meta policies or create risk to our WhatsApp Business Solution Provider status.


5. Your content and customer data

5.1 Your content

You retain ownership of content you submit through the Service, including messages, contacts, catalogs, and media ("Your Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to provide and improve the Service.

5.2 Customer data

You are the data controller for personal data about your customers and contacts processed through the Service. You must:

  • Have a lawful basis to collect and message individuals.
  • Provide appropriate privacy notices to your customers.
  • Respond to data subject requests from your customers.
  • Comply with applicable data protection laws.

Our processing of such data is described in our Privacy Policy and, where applicable, a data processing agreement.

5.3 Prohibited data

Do not upload sensitive personal data (such as health records, government IDs, or financial account numbers) unless you have implemented appropriate safeguards and have a lawful basis to do so.


6. Intellectual property

The Service, including software, design, documentation, and branding, is owned by ConvoConnect and its licensors. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.

Feedback you provide may be used by us without restriction or compensation.


7. Third-party services and integrations

The Service may integrate with third parties such as Meta/WhatsApp, Stripe, M-Pesa, Shopify, WooCommerce, Google, and Twilio. Your use of those services is governed by their terms. We are not responsible for third-party services, outages, or policy changes.


8. API access

If you use our API, you must:

  • Keep API keys confidential and rotate them if compromised.
  • Comply with documented rate limits and usage guidelines.
  • Not use the API in ways that degrade Service performance or security.

We may revoke API access for violations or excessive abuse.


9. Service availability and disclaimers

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or secure operation. WhatsApp delivery, template approval, and third-party integrations depend on factors outside our control.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.


10. Limitation of liability

To the fullest extent permitted by law:

  • ConvoConnect will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
  • Our total liability arising from or related to the Service in any twelve-month period will not exceed the greater of (a) amounts you paid us in that period or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.


11. Indemnification

You agree to indemnify and hold harmless ConvoConnect, its affiliates, and their officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your Content or messages sent through the Service.
  • Your violation of these Terms or applicable law.
  • Your violation of WhatsApp, Meta, or third-party policies.

12. Suspension and termination

12.1 By you

You may cancel your subscription through your account settings or by contacting us. Cancellation stops future billing but does not entitle you to refunds for unused periods unless required by law.

12.2 By us

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, pose a security or legal risk, or if required by law or Meta/WhatsApp policy.

12.3 Effect of termination

Upon termination, your right to use the Service ends. We may delete Your Content after a reasonable retention period, except where we must retain data for legal compliance. Export your data before cancellation where the Service provides export tools.


13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. We may also notify account holders by email or in-product notice. Continued use after changes take effect constitutes acceptance.


14. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which ConvoConnect is incorporated, without regard to conflict-of-law principles, unless mandatory local law requires otherwise.

Any dispute will be resolved in the courts of that jurisdiction, unless we agree to an alternative dispute resolution process in writing.


15. General provisions

  • Entire agreement — These Terms and the Privacy Policy constitute the entire agreement regarding the Service.
  • Severability — If any provision is unenforceable, the remaining provisions remain in effect.
  • No waiver — Failure to enforce a provision is not a waiver of our rights.
  • Assignment — You may not assign these Terms without our consent. We may assign them in connection with a merger or sale.
